Welcome to Eloria®. The terms "we", "us", "our", and "Eloria" refer to Eloria Beauty. We operate this website and online store, including all related information, content, features, tools, products, and services (the "Services").

These Terms of Service ("Terms"), together with our Privacy Policy, Refund Policy, Shipping Policy, and Subscriptions Policy (each incorporated herein by reference), govern your access to and use of our Services and constitute a legally binding agreement between you and Eloria®.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Services following any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms, you represent and warrant that:

• You have the legal capacity to enter into a binding contract

• You have all necessary rights to provide such information to us

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You may not transfer, sell, assign, or license your account to any other person. Eloria® is not liable for any loss or damage arising from unauthorised access to your account resulting from your failure to safeguard your credentials.

Eloria® reserves the right to suspend or terminate any account at its sole discretion, including without notice, where we reasonably suspect fraudulent activity, breach of these Terms, or misuse of the Services.

SECTION 2 — OUR PRODUCTS

We make every reasonable effort to display and describe our products accurately. However:

• Product colours and appearance may vary depending on your device's display settings
• Product images are for illustrative purposes only and are not a guarantee of appearance
• We do not warrant that product quality or appearance will meet your individual expectations
• Product descriptions and specifications are subject to change without notice

Eloria® reserves the right to discontinue any product, limit quantities, or restrict availability by person, geographic region, or jurisdiction at any time and at our sole discretion.

SECTION 3 — ORDERS

Placing an order constitutes an offer to purchase. A binding contract is not formed until Eloria® confirms dispatch of the goods. An order confirmation email is an acknowledgement of receipt only and does not constitute acceptance of your order.

Eloria® reserves the right to accept, decline, or cancel any order at its sole discretion, including after a confirmation email has been sent, for reasons including but not limited to:

• Product unavailability or pricing errors
• Suspected fraud or unauthorised use of a payment method
• Failure of payment authorisation
• Inability to verify shipping address or customer information
• Violation of these Terms, including purchasing for resale or export

If we cancel your order, we will notify you using the contact details provided at checkout and issue a full refund of any amounts charged. Eloria® is not liable for any loss, inconvenience, or damage resulting from the cancellation of an order.

You represent and warrant that all purchases are for personal or household use only. Purchasing for the purpose of commercial resale, export, or arbitrage is strictly prohibited. Eloria® reserves the right to cancel and refund any orders reasonably believed to be made for commercial purposes without further obligation.

SECTION 4 — PRICES AND BILLING

All prices are displayed in USD unless otherwise stated and are subject to change without notice. Prices do not include applicable taxes, shipping fees, customs duties, handling charges, or import fees unless expressly stated at checkout.

By providing payment information, you represent and warrant that:

• The payment information provided is accurate and complete
• You are authorised to use the selected payment method
• All charges incurred will be honoured by your payment provider
• You will pay all applicable charges including taxes, shipping, and fees

Eloria® reserves the right to correct pricing errors at any time, including after an order has been placed. If a pricing error is identified, we will notify you and offer the option to proceed at the correct price or cancel for a full refund. We are under no obligation to fulfil an order at an erroneously low price.

SECTION 5 — SHIPPING AND DELIVERY

All shipping is governed by our Shipping Policy, incorporated herein by reference. Key terms include:

• Delivery timeframes are estimates only and are not guaranteed
• Eloria® is not liable for delays caused by carriers, customs authorities, or circumstances beyond our control
• Risk of loss and title pass to you upon handover of the goods to the carrier
• You are solely responsible for providing accurate shipping information at checkout

SECTION 6 — INTELLECTUAL PROPERTY

All content within the Services — including but not limited to trademarks, logos, trade names, text, images, graphics, videos, product designs, and layout — is owned by Eloria® or its licensors and is protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes only. You may not:

• Reproduce, distribute, or publicly display any content without prior written permission
• Use our trademarks, logos, or brand assets without our written consent
• Create derivative works based on our content
• Reverse engineer or attempt to extract source code from any part of the Services
• Use any content for commercial purposes without a separate licence agreement

All rights not expressly granted herein are reserved by Eloria®. Unauthorised use may give rise to a claim for damages and may constitute a criminal offence.

SECTION 7 — OPTIONAL TOOLS

We may provide access to third-party tools through the Services on an "as is" and "as available" basis, without warranties, representations, or conditions of any kind and without any endorsement. We have no liability arising from or related to your use of optional third-party tools. Any use of optional tools is entirely at your own risk.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links to third-party websites. We are not responsible for their content, accuracy, security, or privacy practices. Accessing third-party websites through links on our Services is entirely at your own risk. We strongly recommend reviewing the terms and privacy policy of any third-party site before sharing personal information.

We utilise third-party service providers — including payment processors, fulfilment providers, and our store platform Funnelish — to facilitate the Services. These providers operate under their own terms and policies. Eloria® is not responsible for the acts or omissions of third-party service providers beyond our reasonable control.

All transactions are conducted between you and Eloria®. Third-party providers are responsible only for the specific services they provide to us and are not party to your contract with Eloria®.

SECTION 10 — PRIVACY POLICY

All personal information collected through the Services is subject to our Privacy Policy, incorporated herein by reference. By using the Services, you consent to the collection and use of your personal information as described therein.

SECTION 11 — FEEDBACK

If you submit feedback, suggestions, reviews, ideas, or other content to Eloria® ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, reproduce, modify, adapt, publish, translate, and distribute that Feedback for any purpose without compensation to you.

You represent and warrant that your Feedback does not infringe any third-party rights, is lawful, and does not contain malicious code or harmful content. Eloria® is not obligated to respond to, act on, or compensate you for any Feedback submitted.

SECTION 12 — ERRORS

Eloria® reserves the right at any time to correct typographical errors, inaccuracies, or omissions in product descriptions, pricing, promotions, and other content, and to cancel orders affected by such errors without prior notice and without liability to you.

SECTION 13 — PROHIBITED USES

In addition to other prohibitions set out in these Terms, you are expressly prohibited from using the Services to:

• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of Eloria® or any third party
• Harass, abuse, threaten, or harm any person
• Transmit unsolicited communications, spam, or malicious code
• Engage in fraudulent, deceptive, or misleading conduct
• Impersonate any person or entity
• Collect or harvest personal data about other users without consent
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorised access to any part of the Services or our systems
• Purchase products for commercial resale, export, or unauthorised bulk acquisition

Violation of this section may result in immediate termination of access and may expose you to civil or criminal liability. Eloria® reserves the right to pursue all available legal remedies.

SECTION 14 — TERMINATION

Eloria® may, at its sole discretion and without notice or liability, suspend or terminate your access to the Services for any reason, including breach of these Terms. Upon termination, all licences granted to you immediately cease.

Sections relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination of these Terms.

SECTION 15 — DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ELORIA® EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT
• WARRANTIES THAT PRODUCTS WILL ACHIEVE ANY PARTICULAR RESULT OR OUTCOME

Some jurisdictions do not permit the exclusion of certain implied warranties. In such jurisdictions, these exclusions apply only to the fullest extent permitted by law.

SECTION 16 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELORIA® AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE
• COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES
• DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR USE OF YOUR ACCOUNT
• DAMAGES ARISING FROM ANY THIRD-PARTY CONTENT OR SERVICES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ELORIA® HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ELORIA®'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM IN THE 30 DAYS PRECEDING THE CLAIM, OR (B) USD $50.00.

Some jurisdictions do not permit certain liability limitations, so the above may not apply to you in full.

SECTION 17 — INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Eloria® and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of these Terms or any referenced policy
• Your violation of any applicable law or third-party rights
• Your use of or reliance upon the Services or products
• Any content or information you submit through the Services
• Your misrepresentation of any information provided to us

Eloria® reserves the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate fully with our defence at your expense.

SECTION 18 — SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of any remaining provisions, which shall continue in full force and effect.

SECTION 19 — ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and Subscriptions Policy, constitute the entire agreement between you and Eloria® with respect to the Services and supersede all prior agreements, representations, and understandings, whether written or oral, relating to the same subject matter.

SECTION 20 — ASSIGNMENT

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any purported assignment without such consent is void. Eloria® may assign these Terms and any rights hereunder without restriction and without notice to you.

SECTION 21 — GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with applicable law. Before initiating any formal legal proceedings, you agree to contact Eloria® at support@eloriabeauty.shop to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

If informal resolution fails, any dispute arising from or related to these Terms or the Services shall be resolved by binding individual arbitration. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration proceeding. Nothing in this section prevents either party from seeking injunctive or other equitable relief to protect intellectual property rights or prevent irreparable harm.

SECTION 22 — HEADINGS

Section headings are included for convenience and ease of reference only. They do not affect the construction or interpretation of these Terms.

SECTION 23 — CHANGES TO TERMS

Eloria® reserves the right to update, modify, or replace any part of these Terms at any time by posting the revised version on our website. Changes are effective immediately upon posting. Your continued use of the Services following any changes constitutes your binding acceptance of the revised Terms. It is your responsibility to check these Terms periodically. If you do not agree to the revised Terms, you must stop using the Services immediately.

SECTION 24 — BILLING TERMS

One-Time Purchases

If you select a one-time purchase, you will be charged the price displayed at checkout at the time your order is placed. No recurring charges will apply to a one-time purchase.

Subscription Purchases

If you select a subscription option, you expressly authorise Eloria® to charge your nominated payment method on a recurring basis in accordance with the billing schedule disclosed at checkout. By subscribing you acknowledge and agree that:

• Your subscription will automatically renew at the end of each billing period until cancelled
• You will be charged the applicable subscription price on each billing date
• Subscriptions may include a 7-day free trial — after the trial ends, recurring charges commence automatically unless cancelled beforehand
• You may cancel at any time before your next billing date via your account or by contacting us at support@eloriabeauty.shop
• Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused portions of a billing period
• Eloria® reserves the right to modify subscription pricing with reasonable prior notice — continued subscription after notice constitutes acceptance of the new pricing
• It is your responsibility to maintain current and valid payment details to avoid service interruption

You will receive an email reminder 5–7 days before each billing date and a receipt after each successful transaction. Billing will appear on your statement as Eloria.

SECTION 25 — FORCE MAJEURE

Eloria® shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, government action, carrier strikes, or infrastructure failures. In such circumstances, Eloria® will use reasonable endeavours to resume normal operations as soon as practicable.
